This guide covers the five legal risks that weigh most in Spain, what recent market data says and what to review before investing.

This text is educational. It is not investment or legal advice.

Why legal risk is at the centre of an NPL

In an NPL, the discount to face value pays for the time, cost and uncertainty of recovering the loan. If you want to revisit the basics, see our guide to legal keys in real estate lending.

The usual mistake is to look only at price and property value. A good property with a poorly documented loan can turn into a long and expensive procedure. That is why legal analysis comes before financial analysis.

Trends: what is happening worldwide and in Spain

Worldwide (16 July 2026). According to Octus, European private credit recorded 494 direct lending deals in the first half, 4% more than a year earlier. It is an activity figure, not a return figure, but it shows more non-bank capital competing for secured assets.

Spain (July 2026). At the NPL Iberian Forum, an executive of the servicer Hipoges estimated, as reported by Brainsre, around EUR 4.5 billion of portfolios sold between January and June 2026 and a mature market without a crisis to drive volumes. These are estimates from a company in the sector and we could not confirm them with a second source.

Spain (pending legislation). The bill on credit servicers and credit purchasers, which transposes Directive (EU) 2021/2167, is still in Parliament according to the file on the Congress website; we found no confirmation of final approval.

What it means for a private investor in Spain: in a mature and more regulated market there is less room for legal mistakes. Opportunities exist, but they are won through document review and patience.

The five legal risks that weigh most

Source: Spanish Civil Code, Law 5/2019 and Royal Legislative Decree 1/2020 (BOE), October 2026

Risk

What can happen

What to review

Early acceleration

A badly applied clause can put enforcement in doubt

Unpaid instalments and prior demand

Unfair terms

A court can annul a term, such as default interest

Original contract and transparency review

Borrower buy-out right

The borrower can extinguish the debt by paying only what the buyer paid

Whether the claim is already disputed in court

Limitation periods

The claim may have partly expired

Default and claim dates

Second chance regime

Personal debt may be discharged

Borrower profile and security

Early acceleration: a missed payment is not enough

For residential mortgage loans to individuals, Law 5/2019 on real estate credit agreements sets out in article 24 when a loan can be called in early. It requires arrears and overdue instalments reaching 3% of the capital granted (or twelve monthly instalments) if the default happens in the first half of the loan, or 7% (or fifteen instalments) in the second half. The lender must also demand payment with at least one month’s notice.

An illustrative, hypothetical example: on a EUR 200,000 loan, the threshold would be EUR 6,000 in the first half and EUR 14,000 in the second. If the seller of the loan did not meet these conditions, the buyer inherits the problem. Loans signed before the law may follow a different regime, so each contract is reviewed individually.

Unfair terms and court review

When the borrower is a consumer, Directive 93/13/EEC allows courts to examine whether a term is unfair, even if the borrower does not raise it. If a term is annulled (for example, default interest), the amount that can be claimed falls. When valuing an NPL, expected recovery should be based on what would survive that review, not on face value.

The borrower’s buy-out right on disputed claims

Article 1535 of the Spanish Civil Code lets the borrower extinguish a disputed claim by repaying the assignee the price paid, the costs and the interest on that price. A claim is disputed once the defence to the lawsuit has been filed, and the borrower has nine days from the moment the assignee demands payment. Article 1536 lists exceptions, such as an assignment to a creditor in payment of their own claim.

Illustrative, hypothetical example: a EUR 100,000 claim is bought for EUR 60,000, with EUR 2,500 in costs and interest on the price of 3% for one year.

Illustrative example prepared by Ondara Group, October 2026

Item

Amount

Price paid for the claim

EUR 60,000

Costs

EUR 2,500

Interest on the price (3%, one year)

EUR 1,800

Total the borrower could pay

EUR 64,300

The borrower would extinguish a EUR 100,000 face-value debt with EUR 64,300. The buyer recovers the money paid with a limited margin, not the full gap to face value.

Limitation periods, notice and the second chance regime

Limitation. Under article 1964 of the Civil Code, the mortgage claim expires after twenty years and personal claims without a special period after five years from when performance can be demanded. A transitional regime applies to relationships that pre-date October 2015.

Notice of assignment. Under article 1527, a debtor who pays the creditor before learning of the assignment is released. The date of notice should be documented.

Second chance. The consolidated Insolvency Act regulates the discharge of unpaid debt for individuals. The security keeps its value, but the personal part of the claim may be lost.

Occupation. If the property is occupied, recovery takes longer.

How Ondara works with distressed assets

Ondara Group is an alternative investment manager based in Barcelona since 2018. We structure transactions with real assets as collateral and analyse each one separately, including legal review of the documents. You can meet the team on the who we are page. We pursue target double-digit returns, always as a target and never guaranteed.

Risks to consider

All investments carry risk, including partial or total loss of capital. In distressed assets, in addition:

Timing risk: court procedures can take longer than expected.

Illiquidity risk: capital is locked in until resolution.

Documentation risk: a defect in the original loan can reduce what is recoverable.

Regulatory risk: the servicers law and case law may change the rules.

Valuation risk: real estate collateral mitigates risk but does not remove it.

On refinancing and exit risk, see our piece on the private credit maturity wall.

Frequently asked questions

What are the main legal risks of an NPL?

Defects in the original contract, badly applied early acceleration, unfair terms, the borrower’s buy-out right, limitation periods and the second chance regime.

What is the buy-out right on disputed claims?

It is the borrower’s right to extinguish a disputed claim by paying the assignee the price paid, the costs and the interest on the price.

Can a term in a loan sold as an NPL be annulled?

Yes, if it is unfair and the borrower is a consumer. The assignment does not cure the term: the buyer acquires the claim as it stood.

Does an unpaid mortgage loan expire?

The mortgage claim expires after twenty years and personal claims, in general, after five, under the Civil Code. The dates of each case must be checked.

Do I need a lawyer to invest in NPLs?

It is strongly advisable. Document review is the decisive part of the analysis.

In summary

In an NPL, legal risk weighs as much as the value of the property.

Early acceleration requires arrears thresholds and a prior demand (Law 5/2019, art. 24).

The buy-out right in article 1535 can limit the gain on disputed claims.

The servicers bill is still pending and may add requirements.

Reviewing the documents with a professional is part of the entry price.

If you would like to know how we invest, register as an investor and we will explain how it works.
